Barbora Moring is a seasoned legal advisor to corporate and financial institution clients. She has deep expertise in U.S. securities laws in relation to capital markets transactions across a range of equity and debt capital instruments. Barbora last practiced as counsel with Clifford Chance in Frankfurt (2010-2018) and prior to that as associate with Davis Polk LLP in New York and Frankfurt (2001-2010). She has extensive experience in financial reporting and other disclosure matters, transaction structuring, as well as compliance and corporate governance.
Barbora graduated from Marymount Manhattan College (B.A., Political Science), obtained a J.D. degree from Fordham University (first in class) and an MBA from INSEAD (France). She is also a certified veterinary physiotherapist with a passion for small quadrupeds.
Jennifer Poon provides sophisticated regulatory, compliance, transactional and corporate governance advice to a wide range of clients, including several large financial institutions. Jennifer began her legal career in 2015 as a corporate attorney working in mergers and acquisitions, capital markets, credit transactions, and project finance. Jennifer also has extensive experience in complex commercial litigation and white collar defense, including cases involving alleged securities fraud, misrepresentation, insider trading, shareholder derivative suits, class actions, and structured finance. She has assisted hedge fund and investment bank clients with sensitive regulatory inquiries, investigations, and enforcement proceedings involving the DOJ, SEC, CFTC, NYAG, and other regulators. Prior to Joyce Xu Law, she practiced with Simpson Thacher LLP (associate, 2015-2017) and Akin Gump Strauss Hauer & Feld LLP (senior associate, counsel, 2018-2023).
Jennifer graduated from Harvard Law School in 2015 and the University of Alberta in 2010 with First Class Honors.
Magdalena Lorenz started her legal career at Davis Polk & Wardwell in Frankfurt and in NYC (2004-2009), where she completed a rotation in the Equity Derivatives group and was assigned to the Credit Department. She advised financial institutions, hedge funds and corporate clients in public and private transactions involving equity and credit derivatives. She has experience negotiating ISDA and LSTA documentation for bank and hedge fund clients. She advised foreign issuers on matters of compliance with U.S. securities laws. Magdalena left Big Law for a full time law teaching position at State University of New York at Oneonta (2009-2015). Prior to attending law school she was Certified Public Accountant with Deloitte and Touche, based in the New York office (1998-2001).
Magdalena holds a J.D. degree from University of California, Berkeley School of Law (2004) and undergraduate degrees in accounting and German from Hunter College of City University of New York. The accomplishments which she is most proud of include raising her son, running the Rock’n Roll Marathon in San Diego and walking from her home in Munich, Germany over the Alps to Venice, Italy.
Haniel Ogburu-Ogbonnaya has significant experience advising a diverse group of private investment firms and investors, as well as both emerging and established sponsors on various fund formation and investment management matters.
Ms. Ogburu-Ogbonnaya was an associate at Proskauer Rose LLP in the Corporate Department as a member of the law firm’s Private Funds Group. She primarily focused her practice on representing buyers and sellers, including U.S. and non-U.S. hedge funds, private equity funds, and institutional investors generally in their capacity as private fund sponsors or investors, in connection with complex secondary and primary transactions (e.g. traditional sales and purchases of fund interests, sponsor led transactions, secondary direct transactions, “stapled” secondary transactions, fund recapitalizations and restructurings).
She also represented private investment fund sponsors and investments adviser in organizing, structuring, negotiating and marketing private investment funds across all aspects of the fund-raising process.
Prior to joining Proskauer, Haniel was an associate at Morgan, Lewis & Bockius LLP and member of the Investment Management Team. Haniel was a secondee at JPMorgan Chase & Co. in its Wealth Management group and its Asset Management group, where she gained valuable insight into the business needs of the institution and those similar to it.
Haniel earned her J.D. from NYU School of Law, where she was a legal intern at Christie’s Auction House in their corporate transactions team.
Abby Xu is an associate at JXL. Prior to her current role, Abby served as an associate at Milbank LLP, where she worked on complex securitizations and fund finance transactions and advised clients on the lifecycle of structured credit, secured lending, and CLOs. Abby started her legal career at Davis Polk & Wardwell in NYC, where she represented financial institutions in the structuring, issuance, distribution, and documentation of equity-linked securities and structured products.
Abby holds a J.D. degree from Georgetown University Law Center, a B.B.A with high distinction from Emory University and an MSc in Finance from the London School of Economics and Political Science.
